Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Vizzi Voice ("Company," "we," "us," or "our") concerning your access to and use of our AI-powered voice assistant services for healthcare practices.

By accessing or using our services, you agree to be bound by these Terms. If you do not agree with these Terms, you must not access or use our services.

Services Description

Vizzi Voice provides AI-powered voice assistant services designed specifically for healthcare practices, including but not limited to:

  • Automated appointment scheduling and management
  • Patient call handling and routing
  • Prescription refill requests processing
  • Patient intake and information collection
  • Post-visit follow-up and care coordination
  • Administrative task automation

We reserve the right to modify, suspend, or discontinue any part of our services at any time with reasonable notice to clients.

Eligibility and Account Registration

Eligibility

To use our services, you must:

  • Be at least 18 years of age
  • Have the legal authority to enter into binding contracts
  • Operate a legitimate healthcare practice or organization
  • Comply with all applicable laws and regulations, including HIPAA

Account Registration

To access our services, you must create an account and provide accurate, complete information. You agree to:

  • Maintain the confidentiality of your account credentials
  • Notify us immediately of any unauthorized access
  • Accept responsibility for all activities under your account
  • Keep your account information current and accurate

Client Responsibilities

As a client of Vizzi Voice, you agree to:

Compliance

  • Comply with all applicable healthcare laws and regulations, including HIPAA and state privacy laws
  • Obtain all necessary patient consents and authorizations
  • Use the services only for lawful healthcare purposes
  • Implement appropriate security measures at your practice

Data Accuracy

  • Provide accurate patient and practice information
  • Review and verify AI-generated responses and actions
  • Maintain oversight of automated processes
  • Promptly report any errors or concerns

Prohibited Activities

You agree not to:

  • Use the services for any illegal or unauthorized purpose
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt our services
  • Reverse engineer, decompile, or disassemble our software
  • Share your account credentials with unauthorized parties
  • Use the services to transmit malware or harmful code

Fees and Payment

Service Fees

You agree to pay all fees associated with your subscription plan as outlined in your service agreement. Fees are billed on a recurring basis according to your chosen billing cycle (monthly, quarterly, or annually).

Payment Terms

  • Payment is due in advance for each billing period
  • Fees are non-refundable except as required by law
  • We reserve the right to modify fees with 30 days' notice
  • Late payments may result in service suspension
  • You are responsible for all applicable taxes

Billing Disputes

If you believe you have been incorrectly billed, you must contact us within 30 days of the charge. We will investigate and resolve the dispute in good faith.

Business Associate Agreement

By using our services to process Protected Health Information (PHI), you acknowledge that we act as your Business Associate under HIPAA. A separate Business Associate Agreement (BAA) will govern our handling of PHI and is incorporated by reference into these Terms.

Key provisions include:

  • We will use and disclose PHI only as permitted by the BAA and HIPAA
  • We will implement appropriate safeguards to protect PHI
  • We will report security incidents and breaches as required
  • We will make PHI available to individuals as required by law
  • We will maintain documentation as required by HIPAA

Intellectual Property Rights

Our Property

All rights, title, and interest in and to our services, including all software, technology, content, trademarks, and intellectual property, are and will remain our exclusive property.

Your Content

You retain all rights to the content and data you provide to our services ("Your Content"). By using our services, you grant us a limited license to use Your Content solely to provide the services to you.

AI-Generated Content

Content generated by our AI systems during the provision of services to you is provided for your use in accordance with these Terms. You are responsible for reviewing and verifying all AI-generated content before relying on it.

Disclaimers and Limitations

Service Availability

We strive to maintain high service availability but do not guarantee uninterrupted or error-free service. We are not liable for any downtime, delays, or service interruptions.

AI Accuracy

While our AI technology is designed to be highly accurate, it may occasionally make errors. You are responsible for reviewing and verifying all AI-generated responses and actions. We are not liable for any errors or omissions in AI-generated content.

No Medical Advice

Our services are administrative tools and do not provide medical advice, diagnosis, or treatment. All medical decisions must be made by qualified healthcare professionals.

Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL VIZZI VOICE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

Indemnification

You agree to indemnify, defend, and hold harmless Vizzi Voice and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:

  • Your use of our services
  • Your violation of these Terms
  • Your violation of any applicable laws or regulations
  • Your violation of any third-party rights
  • Your Content or data provided to our services

Term and Termination

Term

These Terms remain in effect for as long as you use our services or maintain an account with us.

Termination by You

You may terminate your account at any time by providing written notice. Termination will be effective at the end of your current billing period. No refunds will be provided for partial billing periods.

Termination by Us

We may suspend or terminate your access to our services immediately if:

  • You breach these Terms
  • You fail to pay fees when due
  • Your use of services poses a security or legal risk
  • You engage in fraudulent or illegal activities
  • We are required to do so by law

Effect of Termination

Upon termination:

  • Your access to services will be discontinued
  • You must cease all use of our services and software
  • We will retain Your Content as required by law or our data retention policies
  • You remain liable for all fees incurred prior to termination
  • Provisions that by their nature should survive will continue in effect

Dispute Resolution

Informal Resolution

Before filing a formal dispute, you agree to contact us at legal@vizzivoice.com to attempt to resolve the issue informally. We will work with you in good faith to reach a resolution.

Arbitration Agreement

If we cannot resolve a dispute informally, you agree that any disputes will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, rather than in court, except that you may assert claims in small claims court if your claims qualify.

Class Action Waiver

You agree that disputes will be resolved on an individual basis and not as a class action, consolidated proceeding, or representative action.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of [State], without regard to its conflict of law provisions.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through our services at least 30 days before the changes take effect. Your continued use of our services after changes take effect constitutes acceptance of the modified Terms.

General Provisions

Entire Agreement

These Terms, together with our Privacy Policy and Business Associate Agreement, constitute the entire agreement between you and Vizzi Voice regarding our services.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

Assignment

You may not assign or transfer these Terms or your rights and obligations without our prior written consent. We may assign these Terms without restriction.

Force Majeure

We shall not be liable for any failure to perform our obligations due to circumstances beyond our reasonable control, including natural disasters, acts of war, or government restrictions.
